If a finalist cannot be reached, does not respond, declines, is found ineligible, or does not attend live on the assigned day, they forfeit the grant and Bizee may select an alternate at its sole discretion. 7. Rights You Grant
All entrants. You keep ownership of your submission. By entering, you grant permission and a perpetual, non-exclusive, royalty-free, no-cost, worldwide, irrevocable right and license for Bizee to publish, post, adapt, edit, display, exploit and/or modify or otherwise use the Entry and all images, text and materials included or depicted therein, in whole or in part, in any manner or medium now or hereafter known or devised, throughout the universe and in any and all languages, including, without limitation, the right to display, reproduce, recreate, record, perform, exhibit, distribute, copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine it with other material and otherwise use and exploit it without having to give any compensation or attribution to Entrants or any third party, except for the awarding of the grants. Bizee, and each of its successors, assigns and licensees, will have the right to make unlimited derivative works of Entries, to assign or transfer any or all of Bizee’s granted rights and to grant sublicenses. Bizee is not obligated to use any submission.
Without limiting the foregoing, Bizee will have the right to use the Entries submitted, and all images, text and materials included or depicted therein (if any), in any advertising, marketing, promotion or for any other commercial or non-commercial purpose.
Recipients. If you receive a grant, you agree to participate in Bizee storytelling and content about your business for twelve months following the award, and you give Bizee permission to use your name, likeness, voice, business name, business logo, and your story in marketing and promotional materials, in any medium, worldwide, without additional compensation. Bizee may ask you to sign a separate participation agreement before funds are released.
Participation may include filmed interviews, photography, written features, social content, and event appearances. You agree to be available for four filmed on-location check-ins over the twelve months, each scheduled at least 30 days in advance at a mutually agreeable time. Additional opportunities may be offered and are optional. You are never required to share financial records or information you consider confidential.
8. The Grant
Four grants of $25,000 each will be awarded, for a total of $100,000. Grants are paid in a single payment by check or electronic transfer to the recipient or the recipient's business, at Bizee's discretion.
There are no restrictions on how a recipient uses the funds.
Before funds are released, a recipient must provide a completed IRS Form W-9 and any documentation Bizee reasonably requires to verify identity, business ownership, and eligibility. A recipient who does not provide these within [10] business days of the request forfeits the grant, and Bizee may select an alternate.
Each grant is taxable income. Bizee will issue an IRS Form 1099 for the full amount. Recipients are solely responsible for all federal, state, and local taxes arising from the grant, and Bizee recommends consulting a tax professional. Bizee does not provide tax advice.
Grants are non-transferable. No substitutions or cash equivalents. Bizee will not award more than four grants.
9. General Conditions
Disqualification. Bizee may disqualify any Entrant or recipient who provides false or misleading information, does not meet the eligibility requirements, tampers with the entry process, or acts in a way that is unlawful, abusive, or that Bizee reasonably believes would harm the reputation of Bizee or Contrarian Thinking.
Privacy. Information collected through the application is used to administer this program and is handled according to Bizee's Privacy Policy at https://bizee.com/privacy-policy. By entering, you agree that Bizee may share your application information with Contrarian Thinking for judging, selection, and notification.
Release. By entering, you release Bizee, Contrarian Thinking, Codie Sanchez, and each of their parents, affiliates, officers, directors, employees, contractors, and agents (the "Released Parties") from any claim, loss, injury, or damage arising from participation in this program, from receiving or using a grant, or from attending the event, whether in person or online.
Limitation of liability. The Released Parties are not responsible for technical failures, lost or delayed entries, interrupted transmissions, or any error that affects an entry or the administration of this program. To the fullest extent permitted by law, the Released Parties' total liability to any Entrant is limited to the cost of entering, which is nothing.
Publicity Waiver and Release. Each Entrant authorizes the Bizee and its designees to use their name, voice, likeness, biographical data, city and state of residence, photograph, and/or video in programming or promotional material, worldwide in perpetuity, without further compensation unless prohibited by law. Bizee is not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Bizee’s sole discretion, without further obligation or compensation.
Changes and cancellation. If this program cannot run as planned because of a technical failure, fraud, or any other cause outside Bizee's reasonable control, Bizee may modify, suspend, or end it, and may select recipients from eligible entries received up to that point.
Governing law. This grant program is governed by the laws of the United States and the State of Texas, without respect to any choice of law or conflict of law principles that would result in the application of any law other than that of Texas. As a condition of participation, Entrants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this grant program, shall be resolved individually through binding arbitration, without resort to any form of class action, in accordance with the arbitration provision set forth below.
Arbitration: By submitting an Entry, each Entrant agrees that (1) any claim, dispute, or controversy (whether in contract, tort, or otherwise) the Entrant may have against Bizee arising out of, relating to, or connected in any way with the grant program, the awarding or redemption of any grant, and/or the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (2) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (3) the arbitration shall be held in Harris County, Texas; (4) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Entrant may have entered into in connection with the grant program; (5) the arbitrator shall apply Texas law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (6) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only the Entrant’s and/or Bizee’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (7) the arbitrator shall not have the power to award punitive damages against the Entrant or Bizee; (8) in the event that the administrative fees and deposits that must be paid to initiate arbitration against Bizee exceed $125 USD, and the Entrant is unable (or not required under the rules of JAMS) to pay any fees and deposits that exceed this amount, Bizee agrees to pay them and/or forward them on the Entrant’s behalf, subject to ultimate allocation by the arbitrator. In addition, if Entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Bizee will pay as much of Entrant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (9) with the exception of subpart (6) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (6) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither Entrant nor Bizee shall be entitled to arbitrate their dispute. For more information on JAMS and/or the rules of JAMS, visit their website at www.jamsadr.com.
Severability. If any provision is found unenforceable, the rest remains in effect.
