This report provides updated information about the LLC's business activities, ownership structure, and other relevant details to the New Jersey Division of Revenue and Enterprise Services. So, why is an NJ annual report filing required to begin with? In short, it serves as a way for the state to maintain accurate and up-to-date records of an LLC's existence and activities.
Because New Jersey's annual report is mandatory, LLCs must complete and submit it by the specified deadline to remain in compliance with state regulations. Failing to file the annual report or filing it late may result in penalties or even the administrative dissolution of the LLC.
In your annual report, you'll need to provide several key pieces of information about your business. These include:
An NJ annual report filing is due on the last day of the anniversary month of the LLC's formation. So, if your LLC was formed on any day of a particular month, your annual report would be due on the last day of that same month every year moving forward.
When you file your business's annual report, you'll need to pay a fee of $75. In the annual report itself, you'll simply provide your LLC's name and address, as well as your Registered Agent's contact information.

Collect all your business's current information in one place so you can fill out your annual report more efficiently. You'll need details like your business's name and current address, the names of all owners, and the name and address of your Registered Agent.
The New Jersey Division of Revenue and Enterprise Services offers an online portal through which you can file your annual report. Navigate to it, then log in or create an account.
Once you're signed in to the online portal, find the annual report form from the provided list of available documents. Fill it out completely using the information you gathered earlier.

Double-check all the information you've entered to ensure it's accurate. Sign it to make it legally binding, submit it, and pay the required filing fee as prompted by the online portal.
When you receive your confirmation email and receipt from the state, be sure to save both for your records. You'll be glad you did once tax season rolls around (yes, your annual report filing fee counts as a business expense , and yes, you can deduct it from your taxes).

If you fail to complete your NJ annual report filing, the state won't penalize you with a fee. But if you neglect to submit your annual report two years in a row, New Jersey will administratively dissolve your business.
And since reinstating your business involves filling out more forms, paying more fees, and waiting for your request to be processed, we advise doing everything you can to get your annual report submitted on time.
While corporations and LLCs must pay an annual report filing fee of $75, nonprofit organizations are required to pay a significantly lower fee of just $30.
The simplest way to get a copy of your annual report is to make one yourself (such as by taking a screenshot) before submitting your report to the New Jersey Division of Revenue and Enterprise Services.
However, you can always request one if you forgot to make a copy yourself and can't get one through the online portal. As the state explains, "information from a business entity's annual report is part of the public record and can be provided for a fee of $0.10 per page."
